Terms of Service

1. Introduction and Acceptance of Terms

Welcome to Leadi. These Terms of Service ("Agreement") constitute a legally binding agreement between you ("Customer," "you," or "your") and Aka Studio Limited ("Leadi," "we," "us," or "our") regarding your use of our services.

Our services (the "Services") consist of our cloud-based CRM platform designed for sales teams, our website located at https://www.leadi.com (the "Website"), and any related features, content, or tools we may offer.

By accessing the Website or using our Services in any way, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions contained in this Agreement. If you do not agree to these terms, you must not use the Services.

2. Your Leadi Account

To access certain features of the Services, you must register for an account.

  • Registration Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.

  • Eligibility: You must be at least 18 years of age and capable of forming a binding contract to use our Services. Use of the Services is void where prohibited by law.

  • Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Leadi is not liable for any loss or damage arising from your failure to protect your account credentials.

3. License and Service Provision

  • License to Use the Services: Subject to your compliance with this Agreement, Leadi grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for your internal business purposes.

  • Service Modifications: We reserve the right to modify, suspend, or discontinue the Services (or any feature thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

  • Modifications to Agreement: Leadi reserves the right to modify this Agreement at its sole discretion. We will provide notice of any changes by posting the updated Agreement on our Website or by sending you an email. Your continued use of the Services after such notice constitutes your acceptance of the modified Agreement.

4. Content and Data

  • Leadi Content: All materials displayed or performed on the Services, including but not limited to text, graphics, logos, tools, and images (the "Leadi Content"), are the property of Leadi and are protected by copyright and other intellectual property laws. You agree not to copy, modify, sell, or otherwise exploit any Leadi Content without our express prior written consent.

  • Your Content: In using our Services, you may provide us with information, data, and other materials, including information related to your end-user customers (collectively, "Your Content"). You retain full ownership of Your Content. You hereby grant Leadi a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, process, store, and modify Your Content solely for the purpose of providing and improving the Services.

  • Use of Anonymized Data: You acknowledge and agree that Leadi may use Your Content in an anonymized and aggregated form for internal analysis, marketing, and service enhancement. We will only share your personally identifiable information in accordance with our Privacy Policy, located at https://www.leadi.com/privacy_policy.

5. Your Obligations and Acceptable Use

  • Your Warranties: You represent and warrant that:

    1. You have all necessary rights and permissions to use and share Your Content in connection with the Services.

    2. If you provide personally identifiable information of your end-user customers, you have complied with all applicable data protection laws, including providing necessary notices and obtaining all required consents for disclosing such information to a third-party service provider like Leadi.

    3. Your Content and your use of the Services will not infringe upon the rights of any third party, violate any law, or contain any material that is harmful, fraudulent, obscene, or otherwise objectionable.

  • Restrictions on Use: You agree not to use the Services to:

    1. Engage in any fraudulent, abusive, or illegal activity.

    2. Violate the security of any computer network, crack passwords, or transfer or store illegal material.

    3. Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services.

    4. Transmit any viruses, worms, or other malicious code.

6. Fees and Payment

Leadi reserves the right to require payment of fees for the Services. You agree to pay all applicable fees as described on our Website for the Services you select. We may change our prices and institute new charges at any time, with notice provided to you. All fees are non-refundable.

7. Disclaimers and Limitation of Liability

  • WARRANTY DISCLAIMER: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LEADI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

  • LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEADI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE WITH RESPECT TO THE WEBSITE OR THE SERVICES FOR:

    1. ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE GREATER OF $100 USD OR THE FEES PAID BY YOU FOR THE SERVICES DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM;

    2. ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND;

    3. ANY LOSS OF DATA, OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR

    4. ANY MATTER BEYOND OUR REASONABLE CONTROL.

8. Indemnification

You agree to defend, indemnify, and hold harmless Leadi, its affiliates, officers, and employees from any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from or related to your access to or use of the Services, or your violation of this Agreement or any applicable law.

9. Termination

This Agreement will remain in effect while you use the Services. You may terminate your use of the Services at any time. Leadi may suspend or terminate your access to the Services at any time, for any reason (including for a breach of this Agreement), without warning. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. General Provisions

  • Governing Law and Jurisdiction: This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region ("Hong Kong"). The parties irrevocably agree that the courts of Hong Kong shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement.

  • Assignment: You may not assign this Agreement without our prior written consent. Leadi may assign its rights and obligations under this Agreement without restriction.

  • Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

  • Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Leadi and supersedes all prior communications.
